Type of organisations
The types of orgainisations one can register in Singapore fall into four categories.
- Under the Business Registration Act, one can register:
- A sole proprietorship
- A partnership
- Under the Limited Partnership Act, one can register a partnership with limited liability.
- Under the Companies Act, one can incorporate:
- A private company
- A public company
- A branch of a foreign corporation
Foreign corporations whose activities in Singapore are confined to promotional and liaison work may apply to the trade Development Board or other government authorities for permission to open a representative office in Singapore.
Generally, we form companies which are tailored to your requirements. The process of name search, reserving the name (if available) and preparing all documents for submission to the ACRA takes at least three days.
Statutory Records
Every company registered in Singapore must keep certain statutory records. These include:
- Register of members
- Register of directors, secretaries, managers, auditors
- Register of charges
- Register of directors’interests in shares and debentures
- Minutes books of the proceedings of general and board meetings
We can maintain and update these registers on your behalf.
Other secretarial services
Registered office facility
We can make available our address as the registered office for the company. Mail received can either be forwarded unopened to an address instructed by yourself, or be opened and dealt with as appropriate.
Company Searches
We can carry out searches on your behalf at the ACRA. The basic documents filed, such as details of directors and shareholders, can be extracted quickly via an instant search.
